Version 1.0 · Effective October 16, 2026
These terms are part of the Beacn Online Subscription Agreement. Capitalized terms have the meanings given there.
1. Plans
| Plan | Subscription fee | Monthly play allowance (pooled) | Active accounts |
|---|
| Growth | $2,100 per month | Up to 200 plays per month | Up to 40 |
| Operator | $7,500 per month | Up to 1,000 plays per month | Up to 200 |
| Enterprise (Outcomes) | $3,000 per month baseline, plus outcome fee; total capped at $12,000 per month | From 1,500 plays per month | As stated in the Order Form |
- An active account is a company record on which a play has run in the current billing month.
- Play allowances are pooled. A plan's monthly play allowance is the total number of plays you may run in a billing month across all of your active accounts. You may allocate it however you choose. On Growth, 200 plays could be 20 plays across 10 accounts, 100 plays on each of 2 accounts, or 200 plays on a single account, provided you stay within the 40-account limit. Plays do not roll over between billing months.
- Use above your plan's limits requires an upgrade. We will contact you before any change in fees.
- "Unlimited" plays are subject to fair use. We may limit automated or excessive volumes that degrade the Service for other customers, and will contact you first.
2. Outcome fees (Enterprise plan only)
- Closed Revenue means the first-year contract value of net-new, renewal and expansion deals recorded as closed-won in your CRM during a billing month for Qualifying Accounts.
- Qualifying Account means an account on which a play ran within 180 days before the deal's close date.
- Outcome fee equals the percentage of Closed Revenue stated in the Order Form. The baseline fee plus the outcome fee for any month will not exceed the monthly cap stated in the Order Form.
- Reporting. Closed Revenue is measured through the CRM connector if connected. Otherwise, you will provide a written report within 10 days after each month ends. If you do not report, we may invoice based on the CRM data available to us or, failing that, at the monthly cap.
- Disputes. Either party may dispute a month's calculation in writing within 30 days of the invoice date. You will pay undisputed amounts on time. After 30 days, the calculation is final.
- Verification. Once per year, on 30 days' notice, we may review the CRM records used for the calculation, limited to what is needed to verify outcome fees.
- Outcome fees are a pricing method only. They are not a commitment by us that any revenue or other result will be achieved.
3. AI and Output
- Output is generated using artificial intelligence. It may be inaccurate, incomplete or outdated, and may be similar to Output generated for others.
- You are responsible for reviewing Output before relying on it or sending it to anyone. Output is not legal, financial, tax or other professional advice.
- Signals come from public and permissioned sources. We do not guarantee that any signal is complete, current or correct.
- The Service uses third-party AI models. We may change model providers, provided the change does not materially reduce the Service's functionality.
- We do not use Customer Data or Output to train AI models, and our agreements with AI-model providers do not permit them to do so.
4. Acceptable use
You will not, and will not allow anyone else to, use the Service to:
- send outreach that violates anti-spam, privacy or telemarketing laws, including CAN-SPAM, GDPR, CASL and TCPA;
- violate the terms of any third-party platform, including LinkedIn;
- submit special categories of personal data, protected health information, government identification numbers or payment-card data;
- harass or defame anyone, or infringe or misappropriate anyone's rights;
- probe, overload, disrupt or circumvent the Service's security or usage limits; or
- scrape or extract the Service, Output or underlying data at scale, including to build a competing product.
5. Data protection and security
- Roles. For personal data in Customer Data, you are the controller and we are the processor. We process it only on your documented instructions, which are this Agreement and your use of the Service.
- Security. We maintain commercially reasonable administrative, technical and physical safeguards designed to protect Customer Data. These include encryption in transit and at rest through our hosting and database providers, access restricted to authorized personnel, and regular automated backups.
- Personnel. Anyone we allow to access Customer Data is bound by confidentiality obligations.
- Security incidents. We will notify you without undue delay after confirming a security incident affecting your Customer Data. We will provide the information you reasonably need to meet your own legal obligations.
- Assistance. We will reasonably assist with data-subject requests and data protection assessments that you cannot handle through the Service.
- Location and transfers. Customer Data is hosted in the United States. Transfers of personal data from the European Economic Area, the United Kingdom or Switzerland are governed by Section 9 below.
- Deletion. We delete Customer Data within 60 days after the 30-day post-termination export window ends, and from backups as they expire on their normal schedule.
- Security reviews. We will respond to one reasonable security questionnaire per year. We do not currently hold SOC 2 or ISO 27001 certification.
6. Subprocessors
We use the subprocessors below to provide the Service. We will give at least 30 days' notice by email before adding a new subprocessor. If you have a reasonable data-protection objection, you may terminate the affected subscription and receive a refund of prepaid fees for the remainder of the term. This is your sole remedy for the change.

Features labeled preview, beta or early access, and any free or trial use of the Service, are provided "as is." They may change or end at any time and are excluded from the Service Level Agreement, warranties and indemnity.
8. Audits and subprocessor obligations
- Audits. Once per year, you may verify our compliance with these terms by sending a written security questionnaire, which we will answer within 30 days. If a supervisory authority requires it, or after a confirmed security incident affecting your Customer Data, we will also cooperate with a reasonable audit on 30 days' notice, during business hours, at your cost and subject to confidentiality.
- Subprocessors. We impose data protection obligations on each subprocessor that are no less protective than those in these terms, and we remain responsible for their performance.
9. International data transfers
- European Economic Area. For personal data transferred from the EEA to us, the parties enter into the Standard Contractual Clauses approved by European Commission Implementing Decision (EU) 2021/914 (the "SCCs"), incorporated by reference and completed as follows:
- Module Two (controller to processor) applies. Customer is the data exporter and Agentic Ventures is the data importer.

- Switzerland. For transfers from Switzerland, the SCCs apply with references to the GDPR read as references to the Swiss Federal Act on Data Protection, and the Swiss Federal Data Protection and Information Commissioner is the competent supervisory authority.
- Conflict. If the SCCs conflict with the Agreement, the SCCs control for the transfers they govern.
